A conversion that cannot improve anything
It is easy to reason into this one incorrectly. AAC is newer than MP3 and better at the same bitrate — both true. Therefore converting MP3 to AAC should improve the file — not true, and the reason applies to every lossy-to-lossy conversion.
An MP3 encoder analyzed the original audio and permanently removed what a model of hearing suggested you would not notice. That material was not compressed into a smaller space; it was not written down at all. When an AAC encoder receives the decoded MP3, the original recording is not what it is looking at. It sees what the MP3 left, and applies its own judgments on top.
Two encoders, two sets of judgments that do not agree, one file carrying both. The result is slightly worse than the MP3 and cannot be otherwise.
How it works
The MP3 is decoded to samples and those samples are encoded as AAC, placed in an
MP4 container and given the .m4a extension. That container is the whole
difference between an M4A and a bare .aac file — it holds the sample rate,
channel layout and metadata, which is why software expecting a container reads one
and sometimes refuses the other.
The legitimate reasons
There are some, and they are all about compatibility rather than quality.
Apple's ringtone tooling is built around M4A and does not expect MP3. A number of Apple-centric applications list AAC and M4A among their accepted formats and omit MP3 entirely. Occasionally an upload form does the same. In each case the file is being judged by its extension, and the fix is to have the right one.
What to do instead, when you can
If the recording exists in a lossless form — a WAV you made, a FLAC you ripped — encode the M4A from that. A first-generation AAC encode from the original audio is measurably better than a second-generation one built on an MP3, at the same size and for the same effort.
Converting the MP3 is the answer when the MP3 is the only copy you have, which is often the case and a perfectly reasonable position to be in. It is worth knowing which of the two situations you are in before you decide.

Frequently asked questions
Will the audio sound better as AAC?
No, and this is the misunderstanding worth heading off. AAC is a better codec than MP3 at the same bitrate — that part is true. It does not follow that re-encoding an existing MP3 improves it. The MP3 encoder already discarded what it judged inaudible, that material is gone, and the AAC encoder works from what remains. The result is a second generation of loss.
When should I actually do this?
When something requires the format. A few Apple-centric tools, some upload forms and Apple's ringtone workflow accept M4A or AAC and reject MP3 by extension. That is a real requirement and a good reason to convert. Wanting better sound is not, because this cannot deliver it.
What is the difference between M4A and AAC?
M4A is an MP4 container holding an AAC track; a bare `.aac` file is the same audio with no container. The container carries the sample rate, channel count and metadata, which is why software that reads containers handles M4A happily and sometimes refuses a raw stream. What you hear is identical.
What if I still have the original recording?
Encode the M4A from that instead and this page becomes unnecessary. A first-generation AAC encode from a WAV or a FLAC is genuinely better than a second-generation one from an MP3, at exactly the same file size and for the same effort. Converting an MP3 is what you do when the MP3 is all you have.
